Terms and Conditions for The SWJN Rewards Points Program
IMPORTANT NOTICE: The Shareware Junction Network, a division of
Liquid Mirror Enterprises, Inc. ("SWJN," "we," or "us") reserves the right to
add to and/or change the SWJN Rewards Points program ("program") Terms &
Conditions at any time. This means, for example, that we may change the number
of points earned for spending, or the number of points required to redeem
rewards, impose caps and/or fees on earning and/or redeeming points, increase
the annual and/or other program fees and/or cancel rewards. In addition, we
reserve the right to terminate the program with three months' prior notice.
During the three-month notice period, we reserve our right to modify and cancel
rewards, as described below. Your right to earn points and redeem accumulated
points will terminate three months after we give you this notice. Logging into SWJN
constitutes your acceptance of this agreement.
1. The program is available only to developer members of SWJN who have
submitted at least one software product for listing in our database
(“Members”). Membership eligibility is subject to change at SWJN’s discretion
2. All accounts held by a Member with SWJN or with any business of our parent
company, Liquid Mirror Enterprises (“SWJN accounts”) must be in good standing
at the time of enrollment. Any Member with one or more SWJN accounts that are
not in good standing will not be eligible for enrollment in the program at that
time.
3. Each Member enrolled in the program will be given a single program account by
us, which will be used to accrue points based on activities in any and all of
that Member’s SWJN accounts.
1. Each Member enrolled in the program will accrue one "point" in his or her
program account for every eligible dollar charged and billed for account
services, listing promotions, banner campaigns, and keywords bidding account
recharges in any of that Member’s SWJN accounts. From time to time, the
purchase of other products and/or services from SWJN will also yield Rewards
Points, as described in advance by SWJN in communications to Members regarding
the program (“communications”).
2. Each point due to a Member will accrue thirty (30) days after the date of the
billing transaction on which that point is based, as that date is stated in
SWJN’s documentation of that transaction. Points shall not be added to the
program account until their accrual dates. If the Member fails to complete a
transaction billed by SWJN, then no points will accrue on that transaction, and
any points that may have been granted based on that transaction shall be
deducted from the program account.
3. You will not accrue points in your program account for any of your
transactions or activities processed by us prior to your program enrollment
date.
4. Points accrued in your program account for each year-long period following
your enrollment date will be carried forward into the next year on each
enrollment date anniversary, provided all other conditions set forth herein
have been met.
5. Points accrued in any program account: (a) do not constitute property of the
Member, (b) are not transferable by the Member, by operation of law, or
otherwise to any person or entity, and (c) cannot be transferred to any other
program account.
6. Credits posted to any of your SWJN accounts, including but not limited to
those arising from returned goods or services, will reduce the points accrued
in your program account at the same rate at which the associated points were
first given.
7. If a credit posted to any of your SWJN accounts reduces the program account
balance below the minimum required to redeem for a reward, we reserve the right
to decline your request to redeem for a reward.
1. The request for the redemption of a reward based on points in a program
account must be made by the program account holding Member, or a representative
who is authorized by that Member, and whose authorization is accepted by SWJN.
Requests for redemption of a reward must be initiated by visiting
www.sharewarejunction.com/submit/members or by calling us at 1-800-516-9167 or
at 1-714-408-4280.
2. Once accrued points in your program account have been redeemed for a reward,
the points cannot be converted back into your program account, including but
not limited to return of the reward
3. Points accrued in your program account may be redeemed for a reward, provided
that your SWJN account(s) are all in good standing and not canceled or
terminated by SWJN or you (except as provided below) at the time of the
redemption request. Please note that SWJN reserves the right to refuse business
for any reason, and in the event an order is cancelled and the purchase price
refunded, an rewards points earned on such orders will be deemed invalid.
1. If the amount due on any account held by the Member either with SWJN or with
any other business of Liquid Mirror Enterprises, Inc. is not paid by the Member
in full within one month of the closing date stated on the invoice covering
that amount, points accrued in your program account for that month may be
forfeited.
2. For any program account for which points have been forfeited, once the
program account returns to good standing with SWJN, the forfeited points may be
reinstated for a $29 fee for each month of points reinstated.
1. If for any reason we cancel your SWJN account(s) (including but not limited
to because of your death, bankruptcy or insolvency), any points accrued in your
program account will be forfeited. If we reinstate those SWJN account(s) within
one year of cancellation, any points accrued in your program account may be
redeemed for a reward, provided all other conditions set forth herein have been
met.
2. If you voluntarily cancel enrollment in the program or cancel one of your
SWJN accounts enrolled in the program, but keep at least one SWJN account open
and in good standing, you will have up to 30 days from date of cancellation to
redeem the points accrued in your program account.
3. If you cancel all SWJN accounts, all points accrued in your program account
will be forfeited immediately.
4. If any of your SWJN accounts are not in good standing, your enrollment in the
program may be canceled or the points accrued in your program account
forfeited.
1. All rewards are subject to availability. In addition, certain rewards are
available only during the time periods described in the applicable program
communications. Certain restrictions applying to rewards, and Terms &
Conditions of each reward, are set forth in program communications and/or on
certificates to receive rewards that you may receive from SWJN, on terms set
exclusively by SWJN (“Certificates”). Merchants participating in the program
are subject to change.
2. The rewards made available by SWJN for points redemptions may consist of
goods, services, or Certificates or Gift Certificates (Gift Certificates are
included in all references to “Certificates”) to receive goods or services, all
as announced and described exclusively in the program communications issued,
published or advertised by SWJN.
3. Redeemed rewards are not refundable, exchangeable, replaceable, redeemable or
transferable with SWJN for cash, credit, other rewards or points under any
circumstances, except that Certificates may be used for goods or services
according to their own expressly stated terms.
4. By redeeming or receiving rewards, you release SWJN and its parent,
subsidiaries and affiliates from any and all liability regarding the redemption
or use of rewards or other participation in the program.
5. Rewards must be redeemed in accordance with program communications. SWJN and
participating merchants are not responsible for replacing lost, stolen or
mutilated Certificates.
6. We reserve the right to modify or cancel any reward at any time.
7. Any additional arrangements made in connection with any reward will be your
sole responsibility.
8. Some rewards and/or Certificates may require an additional charge for
shipping and handling, and upon your redemption for such rewards or
Certificates, you agree to pay such additional charges.
1. All orders for product rewards are subject to product availability. You will
be notified if the item you have ordered is not available and if and when it
will become available. We reserve the right to substitute items of equal or
greater value. We will ship the model described or listed, or the most current
comparable model available. Items described or listed are the latest models
available at the time of printing. Items ordered at the same time may arrive
separately. Merchandise will be delivered within four to six weeks of our
receipt of the order in proper form.
2. If you want to ship to an address other than your billing address, please
advise the program representative at the time you place the order. Addresses
cannot be changed after order has been made.
3. Product rewards may not be returned or exchanged unless proven to be damaged
or defective. Please call 1-800-516-9167 or 1-714-408-4280 for information
regarding the return policy. Damaged or defective items must be reported to
SWJN and returned within 30 days of delivery. Exceptions to this policy, if
any, will be noted on the SWJN web site, in the individual product's terms and
conditions section, or in other program communications
4. Return Instructions: Advise your representative that you request a
replacement when you call to return. Products must be in their original
packaging and include batteries, cables, remote controls, and other accessories
delivered within the original packaging at the time of redemption.
1. Rewards must be redeemed in accordance with program communications
from SWJN. We and participating merchants are not responsible for replacing
lost, stolen or mutilated Certificates.
2. Certificates held by a single person may be combined by that person unless
otherwise indicated, but Certificates may not be combined with any other
promotional offers from SWJN or the participating retailer or merchant.
3. Certificates are valid for six months from date of issuance, unless otherwise
indicated on the Certificate or program communications. Expiration for Gift
Certificates varies by merchant.
4. Certificates are valid at participating merchants only through the expiration
date printed on the Certificate.
5. Certificates must be surrendered when redeemed for rewards. No photocopies of
Certificates will be honored.
6. Acceptance of the Certificate is the sole responsibility of the participating
merchant, not SWJN.
7. Certificates are not valid toward previous purchases and cannot be used as
payment on existing balances in any account with either the participating
merchant or SWJN.
8. Certificates have no cash value and may not be redeemed for cash or its
equivalent. Any unused portion will not be returned as cash unless a
Certificate expressly states otherwise.
9. Points redeemed for a Certificate or cannot be returned or redeposited to
your program account after the date on which the Certificate is issued.
10. Certificates are transferable to others unless otherwise noted on the
Certificate. Expedited delivery of a Certificate may be available upon request.
There is a fee associated with this service. Certificates are void where
prohibited by law.
11. Unless otherwise stated on the Certificate, Certificates for rewards offered
do not include any federal, state or local taxes, which are the redeemer’s sole
responsibility at time of redemption.
12. Use of any Certificate is subject to any additional restrictions listed on
the Certificate.
13. Certificate rewards do not include gratuities.
14. Certificates will generally arrive within 10 business days.
You may redeem points, in increments of 20,000 points, for $100 in
cash for each such increment. Payment of the cash will be made by a credit to
your SWJN account or by check.
1. Fraud or abuse relating to the accrual of points or redemption of rewards
may result in forfeiture of accrued points as well as cancellation of your
program account and any SWJN account, at SWJN’s discretion.
2. All questions or disputes regarding eligibility for the program, eligibility
of points for accrual, conversion of points and redemptions of rewards will be
resolved by SWJN at its sole discretion.
3. The determination of, and responsibility for, tax liability for any federal,
state or local taxes (as may be applicable) arising out of the accrual or
conversion of points or redemption of rewards in the program shall be your sole
responsibility.
4. We are not responsible for typographical errors and/or photographic errors
and/or omissions in these Terms & Conditions, or in any program-related
communications. These Terms & Conditions supersede all previous SWJN Rewards
Points program Terms & Conditions and communications.
5. These Terms & Conditions are governed by and construed under the laws
(excluding conflicts of law provisions) of the State of California.
